You acknowledge and agree to bear full responsibility for maintaining the confidentiality of your Account information. You undertake to furnish accurate, current, and complete information about yourself or the entity you represent, and refrain from providing misleading profile information.
1.2 Under compliance with this Agreement, you are granted the non-transferable right to access and utilize the Services. You commit not to disclose your login credentials to any third party. You assume sole responsibility for all activities conducted within your Account. If unauthorized use of your Account is detected, prompt notification to us is your responsibility.
1.3 Billing information may be revised by “admin” users within their respective Accounts. Under no circumstances will Onpipeline modify billing information on your behalf, and we shall not be held accountable for unauthorized access to your Account or unauthorized modifications to billing details. It should be noted that Onpipeline does not access or store complete credit card numbers at any point.
1.4 Third-Party Applications – While you may elect to integrate third-party applications with our Services, it’s important to recognize that these applications are not developed or controlled by Onpipeline. You acknowledge and agree that the usage of third-party applications is solely at your discretion, and Onpipeline is not responsible for any issues or consequences arising from the use of such applications.
1.5 Prohibited Activities – In utilizing the Services, you agree not to engage in any activities that violate applicable laws, regulations, or the rights of others. Prohibited activities include but are not limited to unauthorized access to the Services, distribution of harmful software, transmission of spam, or engaging in any form of malicious activity that disrupts or compromises the integrity of the Services.
1.6 The Customer is responsible for all users authorized to access the Account and for their compliance with these Terms. Onpipeline may rely on instructions and actions performed by users designated by the Customer as administrators.
1.7 The Customer is responsible for determining whether the Services are suitable for its intended use and for ensuring that its use of the Services complies with all laws, regulations, and industry requirements applicable to the Customer.
2.1 By subscribing, you agree to remit all applicable fees. Subscription fees are billed in advance on a monthly or annual basis, depending on the selected Subscription Plan. Fees paid for a subscription period are non-refundable. Refunds or credits are not issued for partial subscription periods or for periods during which the Services are available but not used.
2.2 Certain features, add-ons, or other services may be offered separately from, or in addition to, a Subscription and may be subject to separate fees and payment terms. AI Credits are governed by Section 8 of these Terms.
2.3 We reserve the right to modify our rates with thirty (30) days’ prior notice. Changes in rates will be communicated by posting them on the Site or by email. Continued use of the Services after such changes take effect constitutes your agreement to pay the updated rates.
2.4 You hereby authorize Onpipeline and its third-party service providers to store your payment card details. If the payment card on record expires or becomes invalid, and no updated payment information is provided or the Subscription is not canceled, we may suspend your Account until the billing details are updated.
3.1 The Subscription is entered into for the billing period selected by the Customer, either monthly or annual, and is binding for the entire duration of that period. It renews for successive periods of the same duration unless canceled in accordance with these Terms. Any changes to the Subscription must be requested through the Account interface in order to take effect.
3.1.1 For monthly Subscriptions, changes to the Subscription Plan or number of licensed users take effect immediately, with any resulting fee adjustment calculated on a prorated basis for the remainder of the current billing period.
3.1.2 For annual Subscriptions, upgrades to a higher-tier Subscription Plan or increases in the number of licensed users take effect immediately, with the corresponding additional fees calculated on a prorated basis for the remainder of the current annual period. Downgrades to a lower-tier Subscription Plan or reductions in licensed users take effect only at the end of the current annual period.
3.1.3 Any downgrade to a lower-tier Subscription Plan or reduction in the number of licensed users may result in the loss of access to features, capacity, functionality, or data exceeding the limits of the revised Subscription. Data not supported by, or exceeding the limits of, the revised Subscription may be deleted or become inaccessible. The Customer is responsible for reviewing and preserving any data before such modification becomes effective.
3.2 Cancellation takes effect at the end of the current billing period. Cancellation prevents renewal for the following period but does not shorten the period already purchased or entitle the Customer to any refund or credit. The Customer is responsible for preserving any data before cancellation becomes effective.
3.3 Account deletion may result in permanent deletion of data. Onpipeline shall not be responsible for data loss resulting from Account deletion or from a Subscription modification requested by the Customer.
3.4 Onpipeline may suspend, terminate access or delete account data in the event of non-payment, breach of these Terms, unlawful or abusive use, security risks, or conduct that may adversely affect the Services or other customers. Suspension or termination shall not relieve the Customer of any payment obligations already accrued.
4.1 You assert ownership of any content uploaded by you. However, you acknowledge that Onpipeline is not accountable for any violations of third-party rights arising from the data you submit, upload, or add to Onpipeline.
4.2 While we do not pre-screen, monitor, or filter data for unlawful content, you agree that we possess the right, with or without prior notice, to suspend your access to the Services, delete content, and/or terminate this agreement upon discovery of unlawful data.

To continue using the Services after the Trial Period, the Customer must activate a paid Subscription. If no paid Subscription is activated, Onpipeline will delete the Account and all associated data upon expiration of the Trial Period.
5.2 Engaging in multiple sign-ups to acquire additional benefits is strictly prohibited. We hold the authority to terminate or suspend trial Accounts without prior notice or liability.
5.3 Any adverse consequences resulting from or connected to a trial Account fall outside our responsibility and liability.
6.1 Each party shall protect the other party’s Confidential Information and shall not disclose it to third parties except as necessary to perform its obligations under this Agreement or as required by applicable law. These obligations shall continue after termination of this Agreement and shall not apply to information that is publicly available, independently developed, or lawfully obtained from a third party without confidentiality restrictions.
6.2 The Customer shall indemnify, defend, and hold Onpipeline harmless from and against any third-party claims, damages, liabilities, costs, and reasonable legal expenses arising out of or relating to (i) the Customer’s violation of these Terms or applicable laws, (ii) Customer Data or the infringement of any third-party rights resulting from such data, or (iii) the Customer’s unlawful or unauthorized use of the Services.

9.1 The Services are provided “as is” and “as available.”
9.2 The Customer acknowledges that all information within its data is its sole responsibility. This means that the Customer bears full responsibility for all data uploaded, transmitted, or otherwise made available through the Services.
9.3 We disclaim all warranties, including those regarding the site, services, or content (including third-party content) being uninterrupted, timely, secure, or error-free. We may remove the site or suspend services temporarily without notice for maintenance, updates, or repairs, and we are not liable for any resulting disruptions.
9.4 We are not responsible for third-party content, services, networks, or any software/hardware failures. Information provided by Onpipeline employees or through the site and services does not constitute any additional warranty.
9.5 To the maximum extent permitted under this Agreement, Onpipeline shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, or data arising out of or relating to the Services.
9.6 Onpipeline’s aggregate liability arising out of or relating to the Services or this Agreement, as established through the dispute resolution procedure set forth in Section 10, shall not exceed the fees attributable to the specific Services giving rise to the claim for the six (6) months preceding the first event giving rise to liability.
10.1 In any dispute between you and Onpipeline relating to this Agreement, you agree that the dispute shall be governed exclusively by the laws of Ireland.
10.2 Any claim arising out of or relating to this Agreement must be submitted in writing within twelve (12) months after the claim first arose, in accordance with the dispute resolution procedure set forth in Section 10.4.
10.3 Governing Language: In the event of any conflict, inconsistency, or ambiguity between the English version of this Agreement and any translated version, the English version shall prevail. All interpretations of this Agreement must be based solely on the English text.
10.4 The parties shall first attempt in good faith to resolve any dispute arising out of or in connection with this Agreement through direct negotiation. If the dispute has not been resolved within sixty (60) days from written notice of the dispute by either party, either party may commence arbitration in accordance with Section 10.5.
10.5 Any dispute arising out of or in connection with this Agreement shall be finally resolved by arbitration before a single arbitrator in accordance with the UNCITRAL Arbitration Rules. The arbitrator shall be appointed by agreement of the parties or, failing agreement, in accordance with those Rules. The arbitration shall be conducted in English. The seat of arbitration shall be Ireland. The arbitral award shall be final and binding upon the parties.
If any portion of this agreement is deemed unlawful, void, or unenforceable by any arbitrator or court of competent jurisdiction, such decision will not invalidate the agreement as a whole. Only that portion that is unlawful, void, or unenforceable will be stricken from this agreement.
We reserve the right to modify these Terms at any time. Material changes will be communicated to the Customer by email or through the Services, with reasonable advance notice where practicable. Changes will become effective upon publication or on a later date specified by Onpipeline. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
