Affiliate Program Agreement

This Agreement (“Affiliate Program”, “Partnership”, “Agreement”) is between Onpipeline (“Onpipeline”, “we”, “us”, “our”) and you, the legal entity signing up this online agreement (“Affiliate”, “Affiliates”, “you”, “your”). You represent that you have the legal authority to enter into this Agreement.

The Affiliate Program Agreement applies to your participation in our Affiliate Program.  These terms are so important that we cannot have you participate in our Affiliate Program unless you agree to them.

We periodically update these terms. We might also choose to replace these terms in their entirety if, for example, the Affiliate Program changes, ends, or becomes part of an existing program, including our partner programs. If we update or replace the terms will let you know via electronic means.

Acceptance

Once you complete an application to become an Affiliate, we will review your application and notify you whether you have been accepted to participate in the Affiliate Program, or not.  Before we accept an application, we may want to review your application with you, so we may reach out to you for more information. If we do not notify you that you are accepted to participate in the Affiliate Program within thirty (30) days from your application, your application is considered to be rejected.

Non-Exclusivity

This Agreement does not create an exclusive agreement between you and us. Both you and we will have the right to recommend similar products and services of third parties and to work with other parties in connection with the design, sale, installation, implementation and use of similar services and products of third parties.

Affiliate Marketing Methods

As an affiliate, you are permitted to promote our products or services through the following channels:

1. Blog articles / website ads
2. Social Media (including posts on social networking platforms and forums)
3. Email Marketing (subject to prior approval by Onpipeline)

Email Marketing Approval – Prior to engaging in email marketing campaigns to promote our products or services, you must seek approval from Onpipeline. To request approval, please send a detailed description of your proposed email marketing strategy, including the content and frequency of emails. We will review your request and respond with our decision within a reasonable timeframe. Unauthorized email marketing activities may result in the termination of this Agreement.

Compliance with Regulations: When conducting any marketing activities, you must comply with all applicable laws and regulations, including but not limited to anti-spam laws and data protection regulations.

Revenue Share

We will pay a percentage based on the commission schedule. The commission you earn is determined by a predefined percentage, in accordance with the commission outlined in this Agreement. This percentage is applied to the “Net Amounts” received from customers referred by you.

Net Amounts – When we mention “Net Amounts,” we are referring to the revenue generated from sales, minus any chargebacks, returns, or defaults initiated by customers. This calculation ensures that the commission is based on the actual revenue that contributes to the success of both parties.

We are committed to transferring your earned commission to your designated bank account. These transfers are scheduled to take place every three months, aligning with the end of each fiscal quarter. This consistent payment cycle serves as a testament to our dedication to your success.

Invoice Submission – To initiate the payment process, we kindly request that you provide us with a valid tax invoice. This invoice should accurately detail the commission amount based on the Net Amounts generated during the respective fiscal quarter. The aforementioned invoice shall be sent to partners@onpipeline.com

Trademarks

You grant to us a nonexclusive, nontransferable, royalty-free right to use and display your trademarks, service marks and logos in connection with the Affiliate Program and this Agreement.

You must only use the images of our trademark that we make available to you, without altering them in any way; only use our trademarks in connection with the Affiliate Program and this Agreement; comply with our brand guidelines; and immediately comply if we request that you discontinue use. 

Property Rights

Each party maintains full ownership of its individual intellectual property rights. This encompasses any proprietary knowledge, creative works, trademarks, copyrights, and other intangible assets that belong to either party.

Onpipeline maintains the rights to its proprietary materials, including but not limited to software, documentation, logos, and any other materials produced or provided by us. Similarly, you, as the Partner, possess the rights to your intellectual property, which may include promotional materials, branding assets, and other content specific to your business.

Confidentiality

Both parties acknowledge and agree that during this partnership, confidential and proprietary information may be exchanged. This includes, but is not limited to, non-public information, proprietary know-how, and valuable trade secrets (“Confidential Information”). Both parties shall treat all exchanged Confidential Information with the highest degree of confidentiality and care.

Neither party shall disclose, share, reproduce, distribute, or otherwise make available any Confidential Information to any third party without the prior written consent of the disclosing party. Each party shall take all necessary measures to prevent the unauthorized disclosure or use of the other party’s Confidential Information.

This obligation of confidentiality shall survive the termination of this Agreement for a period of five (5) years from the date of termination. This clause is intended to protect the parties’ respective interests and the sensitive nature of the information exchanged during the course of their partnership.

Commission Schedule

Affiliates are entitled to a consistent compensation structure, receiving a 20% commission from payments made the first year by referred customers. This commission serves as a tangible reflection of the value Affiliates bring.

Dispute Resolution

In the event of any dispute arising between you and Onpipeline pertaining to the terms and conditions of this Agreement, it is understood that such matters shall be subject to exclusive jurisdiction under the laws of Ireland. This choice of jurisdiction is made to provide a clear and coherent framework for resolving disagreements, and to ensure that any legal proceedings associated with this Agreement are conducted within a familiar and well-defined legal context.

Claims under this Agreement cannot be brought forward more than twelve (12) months from the point when the underlying claim first arose. This limitation serves to establish a reasonable and defined window within which any potential disputes must be raised, encouraging prompt resolution.
